Ⅰ. 독립성 선언

I. Declaration of Independence

 

 

SEC(Sustainable Enterprise Evaluation Commission)는 평가의 독립성을 객관적이고 공정한 평가와 사회적 신뢰를 확보하기 위한 핵심적인 전제로 인식한다.

 

SEC (Sustainable Enterprise Evaluation Commission) recognizes the Independence of Evaluation as an essential foundation for objective and fair evaluation and for maintaining public trust.

 

SEC는 정치적·경제적 이해관계, 평가대상과의 관계, 경영상의 이해 또는 기타 외부·내부 요인이 평가과정과 개별 평가결과에 부당한 영향을 미치지 않도록 평가업무의 독립성을 보장한다.

 

SEC safeguards the Independence of Evaluation by ensuring that political or economic interests, relationships with evaluation subjects, management interests, or other external or internal factors do not improperly influence the evaluation process or individual evaluation results.

 

평가에 관한 전문적 판단은 객관적인 자료와 검증 가능한 정보, SEC 평가방법론(SEC Evaluation Methodology), SEC 평가체계(SEC Evaluation Framework) 및 정해진 평가절차에 따라 이루어지며, SEC는 정당한 평가절차를 벗어난 지시·압력·청탁 또는 부당한 개입을 허용하지 않는다.

 

Professional evaluation judgments are made on the basis of objective data, verifiable information, the SEC Evaluation Methodology, the SEC Evaluation Framework, and established evaluation procedures. SEC does not permit instructions, pressure, solicitation, or other improper interference outside legitimate evaluation procedures.

 

SEC는 평가의 독립성이 선언에 그치지 않고 실제 평가과정에서 일관되게 유지될 수 있도록 경영과 평가의 분리, 이해상충 관리, 평가윤리, 내부통제 및 부당한 영향력 차단을 위한 제도와 절차를 운영한다.

 

To ensure that the Independence of Evaluation is not merely declaratory but consistently maintained throughout the evaluation process, SEC operates systems and procedures for the separation of management and evaluation, conflict-of-interest management, evaluation ethics, internal controls, and the prevention of undue influence.

 

 

평가 독립성의 기본원칙

Fundamental Principles of Evaluation Independence

 

 

SEC의 평가 독립성은 평가에 관한 전문적 판단이 외부 또는 내부의 부당한 영향으로부터 보호되고, 객관적인 자료와 검증 가능한 정보 및 정해진 평가기준과 절차에 따라 이루어지도록 하는 데 목적이 있다.

 

The Independence of Evaluation at SEC is intended to protect professional evaluation judgments from undue external or internal influence and to ensure that such judgments are made in accordance with objective data, verifiable information, and established evaluation criteria and procedures.

 

SEC는 평가대상의 유형·규모·사회적 영향력, 경제적·사업적 관계 또는 기타 이해관계와 관계없이 정해진 평가원칙과 절차에 따라 평가를 수행한다.

 

SEC conducts evaluations in accordance with established evaluation principles and procedures regardless of the type, size, or social influence of an evaluation subject, economic or business relationships, or other interests.

 

평가에 관한 전문적 판단은 평가업무를 수행하는 조직과 평가위원의 권한과 책임에 따라 이루어지며, 정당한 평가절차를 벗어난 지시나 개입으로 변경되어서는 안 된다.

 

Professional evaluation judgments are made in accordance with the authority and responsibilities of the evaluation organization and evaluation committee members and must not be altered through instructions or interference outside legitimate evaluation procedures.

 

SEC는 평가대상과의 경제적·사업적 관계 또는 기타 이해관계의 존재 여부가 그 자체로 개별 평가결과·평가등급 또는 인증결정을 유리하거나 불리하게 하는 근거가 되지 않도록 한다.

 

SEC ensures that the existence of economic or business relationships or other interests involving an evaluation subject does not, in itself, serve as a basis for favorable or unfavorable treatment in individual evaluation results, Ratings, or Certification decisions.

 

평가의 독립성은 평가자료의 수집과 검증, 정량·정성평가, 점수산정, WFSRI 산출, 사실확인, 종합검토와 평가위원회 심의 및 최종 평가결과 확정에 이르는 평가 전 과정에 적용한다.

 

The Independence of Evaluation applies throughout the evaluation process, including the collection and verification of evaluation materials, quantitative and qualitative evaluation, score calculation, derivation of the WFSRI, Factual Review, comprehensive review and Evaluation Committee deliberation, and finalization of evaluation results.

 

 

 

경영과 평가의 분리

Separation of Management and Evaluation

 

 

SEC는 회사의 경영과 사업운영에 관한 의사결정과 개별 평가대상에 대한 전문적인 평가판단을 구분한다.

 

SEC distinguishes decisions concerning corporate management and business operations from professional evaluation judgments concerning individual evaluation subjects.

 

경영진은 평가업무가 안정적이고 전문적으로 수행될 수 있도록 필요한 조직·인력·재정 및 업무환경을 지원할 수 있으나, 이러한 경영상의 권한이 개별 평가대상에 대한 평가판단이나 평가결과를 부당하게 변경하거나 이에 개입할 수 있는 권한을 의미하지 않는다.

 

Management may provide the organizational, human, financial, and operational resources necessary for evaluation activities to be conducted in a stable and professional manner. Such management authority, however, does not constitute authority to improperly alter or interfere with evaluation judgments or results concerning individual evaluation subjects.

 

개별 평가에 관한 전문적 판단은 SEC 평가방법론과 SEC 평가체계, 객관적인 평가자료와 검증 가능한 정보 및 정해진 평가절차에 따라 이루어진다.

 

Professional judgments concerning individual evaluations are made in accordance with the SEC Evaluation Methodology, the SEC Evaluation Framework, objective evaluation materials, verifiable information, and established evaluation procedures.

 

SEC는 경영과 평가 사이에서 이해상충이 발생하거나 발생할 가능성이 있는 경우 이를 식별하고 필요한 분리 및 관리조치를 적용하여 개별 평가판단의 독립성을 보호한다.

 

Where a conflict of interest arises or may arise between management and evaluation activities, SEC identifies the conflict and applies necessary separation and management measures to protect the independence of individual evaluation judgments.

 

 

 

이해상충 방지

Prevention and Management of Conflicts of Interest

 

 

SEC는 평가업무의 독립성·공정성·객관성을 확보하기 위하여 평가과정에서 발생하거나 발생할 가능성이 있는 이해상충을 식별·예방·관리한다.

 

SEC identifies, prevents, and manages actual or potential conflicts of interest arising in the evaluation process to safeguard the Independence, Fairness, and Objectivity of its evaluations.

 

SEC는 평가대상과의 경제적·사업적 관계가 개별 평가결과·평가등급 또는 인증결정에 부당한 영향을 미치지 않도록 관리한다.

 

SEC manages economic and business relationships with evaluation subjects to ensure that such relationships do not improperly influence individual evaluation results, Ratings, or Certification decisions.

 

경제적·사업적 관계의 존재 여부 또는 재정적 기여 여부는 그 자체로 개별 평가결과·평가등급 또는 인증결정을 유리하거나 불리하게 하는 근거가 될 수 없다.

 

The existence of an economic or business relationship or financial contribution must not, in itself, serve as a basis for favorable or unfavorable treatment in individual evaluation results, Ratings, or Certification decisions.

 

SEC는 평가결과·평가등급 또는 인증결정의 유리한 변경을 조건으로 금전적 또는 기타 경제적 이익을 요구하거나 제공받지 않는다.

 

SEC does not request or accept monetary or other economic benefits in exchange for favorable changes to evaluation results, Ratings, or Certification decisions.

 

SEC는 이해상충의 성격과 정도에 따라 필요한 경우 업무분리, 정보차단, 제척·회피 등 적절한 관리조치를 적용한다.

 

Depending on the nature and extent of a conflict of interest, SEC applies appropriate management measures where necessary, including separation of duties, information barriers, recusal, and avoidance.

 

 

평가윤리

Evaluation Ethics

 

 

SEC는 평가업무를 수행하는 모든 구성원이 독립성·공정성·객관성·전문성·투명성 및 신뢰성의 기본원칙을 준수하고 높은 수준의 직업윤리와 책임성을 유지하도록 한다.

 

SEC requires all persons engaged in evaluation activities to comply with the Fundamental Principles of Independence, Fairness, Objectivity, Professionalism, Transparency, and Reliability and to maintain high standards of professional ethics and responsibility.

 

평가업무 수행자는 개인적 이해관계나 외부의 부당한 영향에 따라 평가판단을 왜곡해서는 안 되며, 객관적인 자료와 검증 가능한 정보 및 정해진 평가절차에 따라 평가업무를 수행한다.

 

Persons engaged in evaluation activities must not distort evaluation judgments on the basis of personal interests or undue external influence and must perform their duties in accordance with objective data, verifiable information, and established evaluation procedures.

 

평가과정에서 취득한 비공개 정보와 보호가 필요한 자료는 정해진 기준과 절차에 따라 관리하며, 평가업무와 관계없는 사적 목적이나 부당한 이익을 위하여 이용하지 않는다.

 

Non-public information and protected materials obtained through the evaluation process are managed in accordance with established standards and procedures and must not be used for private purposes unrelated to evaluation activities or for improper benefit.

 

평가업무 수행자는 평가대상 또는 이해관계자로부터 평가의 독립성이나 공정성을 훼손할 수 있는 부당한 청탁·압력 또는 이익제공을 받아들이지 않는다.

 

Persons engaged in evaluation activities must not accept improper solicitation, pressure, or benefits from evaluation subjects or stakeholders that could compromise the Independence or Fairness of an evaluation.

 

SEC는 평가윤리에 위배될 가능성이 있는 사항을 적절하게 확인하고 관리하며, 필요한 경우 관련 기준과 절차에 따라 조치한다.

 

SEC appropriately identifies and manages matters that may conflict with Evaluation Ethics and, where necessary, takes action in accordance with applicable standards and procedures.

 

 

 

내부통제

Internal Controls

 

 

SEC는 평가의 독립성·공정성·객관성 및 신뢰성을 확보하고 평가업무가 정해진 원칙과 절차에 따라 수행되도록 내부통제체계를 운영한다.

 

SEC operates an internal control system to safeguard the Independence, Fairness, Objectivity, and Reliability of evaluations and to ensure that evaluation activities are conducted in accordance with established principles and procedures.

 

내부통제체계는 평가업무에 관한 권한과 책임의 구분, 평가자료와 정보의 관리, 필요한 접근권한의 통제, 평가절차의 준수, 이해상충의 확인과 관리 및 평가업무에 필요한 기록의 관리 등을 포함한다.

 

The internal control system includes the allocation of authority and responsibility for evaluation activities, management of evaluation materials and information, appropriate access controls, compliance with evaluation procedures, identification and management of conflicts of interest, and maintenance of records necessary for evaluation activities.

 

SEC는 평가과정에서 독립성이나 공정성에 영향을 미칠 수 있는 사항을 확인한 경우 그 성격과 정도를 검토하고 필요한 관리조치를 적용한다.

 

Where SEC identifies a matter that may affect the Independence or Fairness of an evaluation, it reviews the nature and extent of the matter and applies necessary management measures.

 

내부통제는 평가에 관한 전문적 판단을 대체하기 위한 것이 아니라, 전문적 평가판단이 정해진 평가원칙과 절차에 따라 독립적으로 이루어질 수 있도록 지원하기 위한 관리체계로 운영한다.

 

Internal controls are not intended to replace professional evaluation judgment but to support an environment in which such judgment can be exercised independently in accordance with established evaluation principles and procedures.

 

 

부당한 영향력 차단

Prevention of Undue Influence

 

 

SEC는 개별 평가대상에 대한 전문적 판단과 평가결과에 부당한 영향을 미치려는 외부 또는 내부의 지시·압력·청탁·회유 및 기타 부당한 개입을 허용하지 않는다.

 

SEC does not permit external or internal instructions, pressure, solicitation, inducement, or other improper interference intended to unduly influence professional judgments or evaluation results concerning individual evaluation subjects.

 

평가대상, 이해관계자, 거래관계자, 경영진, 임직원 또는 그 밖의 어떠한 주체도 정당한 평가절차를 벗어나 개별 평가판단이나 평가결과에 부당하게 개입해서는 안 된다.

 

No evaluation subject, stakeholder, business counterparty, member of management, employee, or other party may improperly interfere with individual evaluation judgments or results outside legitimate evaluation procedures.

 

평가업무 수행자는 평가의 독립성이나 공정성을 훼손할 우려가 있는 부당한 영향이나 개입을 받은 경우 이를 평가판단에 반영하지 않으며, 정해진 기준과 절차에 따라 필요한 조치를 취한다.

 

Where a person engaged in evaluation activities is subject to improper influence or interference that may compromise the Independence or Fairness of an evaluation, such influence or interference must not be reflected in the evaluation judgment, and necessary action is taken in accordance with established standards and procedures.

 

SEC는 부당한 영향력으로부터 평가업무와 전문적 판단을 보호함으로써 평가결과가 객관적인 자료와 검증 가능한 정보, SEC 평가방법론과 SEC 평가체계 및 정해진 평가절차에 따라 독립적으로 도출되도록 한다.

 

By protecting evaluation activities and professional judgments from undue influence, SEC ensures that evaluation results are independently derived on the basis of objective data, verifiable information, the SEC Evaluation Methodology, the SEC Evaluation Framework, and established evaluation procedures.
